PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THIS WEBSITE. All users of this site agree that access to and use of this site are subject to the following terms and conditions and other applicable law, which may be updated from time to time without notice to you. These Terms of Use constitute a binding agreement between MiiR.com and you governing your use of the Website. By using and/or visiting the www.miir.com Website or any other Websites owned by MiiR.com (collectively the "Website"), you signify your assent to both these Terms of Use and the MiiR.com Privacy Policy, which is incorporated into the MiiR.com’s Terms of Use. You are only authorized only to use the Website if you agree to abide by all applicable laws and to these Terms of Use. If you do not agree to these terms and conditions, please do not use this website.

Terms of Ordering

General

Placing an order with MiiR constitutes an acceptance of the conditions herein:

Buyers with terms approved accounts located inside the US will be invoiced (invoice due upon receipt) upon shipment unless otherwise agreed upon with MiiR. Buyers with terms approved accounts located outside of the US will be invoiced (invoice due upon receipt) upon order placement, prior to shipping, unless otherwise agreed upon with MiiR. All other Buyers utilizing the online checkout system using credit card as payment method will be charged at the time of their order.

Hang-tags and inserts must remain on or in the product at retail for liability reasons. Minimum quantities apply to Wholesale & CustoMiiR orders and are subject to change. Wholesale & CustoMiiR orders must maintain full case quantities, per color, per style.

Buyers are strongly recommended to adhere to MSRP on resell of products to remain a valued partner of MiiR. Timeline is dependent on stock, cobranding queue, size/type of order. MiiR can provide high-resolution product images upon request. Buyer is responsible for all shipping charges.

Defects/Damages/Returns

  • Defects: MiiR must be notified within 5 business days from delivery of any defects. Photographs must be submitted clearly indicating the defects. It is the responsibility of the Buyer to inspect product upon receipt of the order, confirming this matches the PO and invoice.
  • Damage: Contact MiiR within 5 business days of receipt for damage claims. Please provide photographs and contact your sales rep for prompt resolution. MiiR may request customer return 100% of a defective order before reproducing or replacing your order. MiiR will pay for shipping and provide a shipping label if a return is required due to product defect or damage occurring before delivery. MiiR will reproduce a defective order with the original production time and shipping method. MiiR will refund within 3 business days if a refund is required. MiiR will not be responsible for damage or shortages occurring from third-party sellers.
  • Returns: Wholesale product (no artwork) can be returned or exchanged (shipping responsibility of the Buyer) within 30 days of receipt in perfect, unused, re-sellable condition. If returned items are received by MiiR and are damaged due to negligent customer re-packaging, MiiR will not be able to accept the return. All decorated product sales are final.
  • Cancellations on CustoMiiR: . All cancellations must be made within 48 hours of approved order. If order is cancelled outside of 48 hours, $100 Restock Fee may apply. If the order is already in production, the order cannot be cancelled.

  • Cobranding

    Buyers will provide vector artwork for digital mockups in the indicated usable format. Digital mockup art/placement will be an approximate representation of final product. Buyer will approve the mockup as the final print proof. MiiR reserves the right to refuse printing of artwork at any time, for any reason.

    Any specific Pantone (PMS) color requirements must be called out by the Buyer. Set-up fees are based on numbers of colors and placements and are subject to change, with notice. Screen printing reprints require minimal setup fees, which are set by printing partners.

    By submitting this order to MiiR you warrant, confirm, and represent that you are the owner or authorized licensee of all, title, and interest and to all artwork you submit for placement on MiiR product. You agree to defend, indemnify, and hold harmless MiiR from any and all claims of infringement for such artwork.


    Re-Selling: 

    Any products listed on Amazon or other third-party reseller requires written permission from MiiR. Current season products must be sold at current MSRP.


Use of Site

You affirm that you are older than 18 years of age, or an emancipated minor, or that you are over age 13 and possess legal parental or guardian consent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use. MiiR.com is not intended for children under 13. If you are under 13 years of age, then please do not use the MiiR.com Website.

Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Impersonation of others, including a MiiR Inc or other employee, agent, host, or representative of MiiR, Inc., and other members or visitors on the site is prohibited. You may not upload to, distribute, or otherwise publish through the site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law. You may not upload commercial content on the site or use the site to solicit others to join or become members of any other commercial online service or other organization.

MiiR.com hereby grants you permission to use the Website as set forth in these Terms of Use, provided that: (i) your use of the Website as permitted is solely for your personal, noncommercial use; (ii) you will not copy or distribute any part of the Website in any medium without MiiR.com’s prior written authorization; (iii) you will not alter or modify any part of the Website other than as may be reasonably necessary to use the Website for its intended purpose; and (iv) you will otherwise comply with the terms and conditions of these Terms of Use.

In order to access some features of the Website, you will have to create an account. You are not allowed to use another user’s account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You may change your password at any time by updating your Account page. In addition, you agree to immediately notify MiiR.com of any unauthorized use of your password or account or any other breach of security. MiiR.com cannot and will not be liable for any loss or damage arising from your failure to comply with the ‘Use of Site’.

By registering with MiiR.com, you represent that you are not a person barred by any laws from using the MiiR.com Website. You agree to provide true, accurate, current and complete information about yourself in all required fields of the registration form. If any of your information changes, you agree to update your registration information as soon as possible. If MiiR.com suspects that your registration information is not complete, current, or accurate, or that you have otherwise violated these Terms of Use, your account may be subject to suspension or termination, and you may be barred from using the MiiR.com Website.

You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or similar technological devices or programs, that access the Website in a manner that sends more request messages to the MiiR.com servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, MiiR.com grants the operators of public search engines permission to use spiders to copy materials from the Website for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. MiiR.com reserves the right to revoke these exceptions either generally or in specific cases, in its sole discretion. You agree not to collect or use any personally identifiable information ("Personal Information") including without limitation account names, email addresses, or other User Submissions (as defined below), from the Website, nor use the communication systems provided by the Website for any commercial solicitation purposes, including without limitation to solicit, for commercial purposes, any users of the Website.

Rules of Conduct

The following rules of conduct apply to your use of the Website and to any and all materials you post on MiiR.com, including text, data, graphics, messages, files or other material (collectively User Submissions) whether the User Submission is included in blogs, emails, profiles, comments, or any other portion or feature of MiiR.com. You may not, in connection with the Website:

Upload, post, email or otherwise transmit any User Submission that:

  • is libelous or defamatory, pornographic, sexually explicit, unlawful or plagiarized.
  • infringes or violates any patent, copyright, trademark, trade secret or other property right.
  • breaches a duty of confidentiality by which you are bound due to a contractual or fiduciary relationship (such as inside information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
  • a reasonable person would consider harassing, abusive, threatening, harmful, vulgar, profane, obscene, excessively violent, racially, ethnically or otherwise objectionable or offensive in any way.
  • constitutes a breach of any person’s privacy or publicity rights, a misrepresentation of facts, or hate speech.
  • violates or encourages others to violate any applicable law, statute, ordinance or regulation.
  • promotes software or services that deliver unsolicited e-mail.
  • contains viruses, Trojan horses, worms, time bombs, cancelbots or other similar harmful programming routines.


You may not, except with MiiR.com’s express advance authorization or in a specially designated area, use the website to:

  • Upload, post, email or otherwise transmit any User Submission that provides any telephone numbers, street addresses, last names, URLs or email address.
  • engage in commercial activities within MiiR.com.
  • harm minors in any way.
  • solicit personal information from anyone under 18.
  • provide false or deceptive information.
  • use MiiR.com content to engage in commercial activities.
  • delete, add or otherwise change other people’s entries or other Content when you have not been granted the privileges to do so.
  • allow usage by others in such a way as to violate MiiR.com’s Terms of Use.


The interactive nature of postings on MiiR.com makes it impossible for us to assume responsibility for any of the materials posted by users. The ideas, suggestions, opinions, comments, and observations made by MiiR.com users, and any text, data, photographs, messages, files or other material provided to us by users (all of which are referred to as "User Submissions") are not endorsed by MiiR.com, and we make no guarantee regarding the reliability, accuracy, or quality of any User Submission that is posted on the Website. You acknowledge that you will evaluate and bear any risks related to your use of any User Submission, including any reliance on the accuracy, completeness, or usefulness of such User Submission. All User Submissions posted to the Website are the sole responsibility of the person who originally posted the User Submission, and your sole recourse for any damage you may suffer as a result of User Submissions shall be to such individual.

You shall be solely responsible for your own User Submission and the consequences of posting or publishing them. You retain all of your ownership rights in your User Submissions. However, by submitting the User Submissions to MiiR.com, you hereby grant MiiR.com a worldwide, non-exclusive, royalty-free, sublicenseable, and transferable right and license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Website and MiiR.com’s (and its successor’s) business, including without limitation for promoting and redistributing part or all of the Website (and derivative works thereof) in any media now known or hereafter developed. The foregoing license granted by you terminates once you remove or delete a User Submission from the Website.

If you choose to post User Submissions on MiiR.com Web pages, we require that you adhere to generally accepted rules of etiquette and standards of behavior, and that your use of MiiR.com reflects your respect for the legal rights of users connected with MiiR.com. You understand that MiiR.com does not guarantee any confidentiality with respect to any User Submission.

MiiR.com expressly disclaims any and all liability in connection with User Submissions. MiiR.com reserves the right to remove Content and User Submissions in its sole discretion and without prior notice. MiiR.com also reserves the right to terminate a user's access to the Website at any time in its sole discretion and without prior notice.

Third-Party Links

In an attempt to provide increased value to our visitors, MiiR Inc may link to sites operated by third parties. However, even if the third party is affiliated with MiiR Inc, MiiR Inc has no control over these linked sites, all of which have separate privacy and data collection practices, independent of MiiR Inc. These linked sites are only for your convenience and therefore you access them at your own risk. Nonetheless, MiiR Inc seeks to protect the integrity of its web site and the links placed upon it and therefore requests any feedback on not only its own site, but for sites it links to as well (including if a specific link does not work).

Participation Disclaimer

MiiR Inc does not and cannot review all communications and materials posted to or created by users accessing the site, and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user-generated content on the site, MiiR Inc is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the site. All content on the Website, except User Submissions (as defined below), including without limitation, the text, graphics, and photos created by and for MiiR.com, interactive features ("Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to MiiR.com, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. Content on the Website is provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any purpose whatsoever without the prior written consent of MiiR.com or as expressly provided herein. MiiR.com reserves all rights not expressly granted in and to the Website and the Content contained therein. You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions (as defined below) of third parties obtained through the Website for any commercial purposes. If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained thereon. You may display and, subject to any expressly stated restrictions or limitations relating to specific material, download or print portions of the material from the different areas of the site solely for your own non-commercial use, or to place an order with MiiR Inc or to purchase MiiR Inc products. Any other use, including but not limited to the reproduction, distribution, display or transmission of the content of this site is strictly prohibited, unless authorized by MiiR Inc. MiiR.com respects the intellectual property of others, and we ask our users to do the same. LIMITATION OF LIABILITY

Typographical Errors

In the event that a MiiR Inc product is mistakenly listed at an incorrect price, MiiR Inc reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. MiiR Inc reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, MiiR Inc shall issue a credit to your credit card account in the amount of the incorrect price.

Terms: Termination

These terms and conditions are applicable to you upon your accessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated by MiiR Inc without notice at any time, for any reason. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination. MiiR.com may, under certain circumstances and without prior notice, immediately terminate your MiiR.com account and access to the Website and any other MiiR.com services. MiiR.com reserves the right at any time to modify or discontinue, temporarily or permanently, MiiR.com (or any part thereof) with or without notice. MiiR.com shall not be liable to you or to any third party for any modification, suspension or discontinuance of the MiiR.com (or any part thereof).

Notice

MiiR Inc may deliver notice to you by means of e-mail, a general notice on the site, or by other reliable method to the address you have provided to MiiR Inc.

Violations

Please report any violations of the Terms of Use, including objectionable User Submissions or behavior, to info@miir.com. Please state the reasons for your concern and provide a link to the User Content or, if appropriate, the behavior in question. Upon receiving such a report of a possible violation, MiiR.com in its sole discretion may investigate the matter and take such action as MiiR.com determines to be appropriate.

Miscellaneous

Your use of this site shall be governed in all respects by the laws of the state of Washington, U.S.A., without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of MiiR Inc products) shall be in the state or federal courts located in King County, Washington. Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of MiiR Inc products) must be commenced within one (1) year after the claim or cause of action arises. MiiR Inc's failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. MiiR Inc may assign its rights and duties under this Agreement to any party at any time without notice to you.
